Vanguard Renewables announced it has signed an agreement to acquire Generate Upcycle’s North American operations, merging two industry leaders to create the leading food waste-to-renewable natural gas platform. Upon closing, the combined company will operate an expanded infrastructure network across the U.S. and Canada, strengthening its ability to meet growing demand for organic waste diversion and low-carbon energy solutions.
The transaction is a response to broader shifts underway across the resource recovery market. As landfill capacity constraints grow, corporate sustainability commitments expand, and organics diversion policies continue to emerge, demand is increasing for solutions that keep organic material out of landfills and put it to productive use. Through anaerobic digestion, those materials are transformed into renewable natural gas and other beneficial resources.
Upon closing, Generate Upcycle’s anaerobic digestion facilities and advanced depackaging facilities operating across upstate New York and Ontario, Canada, are expected to join Vanguard Renewables’ portfolio, bringing the combined platform to 19 facilities. The transaction also establishes Vanguard Renewables’ presence in Canada’s Clean Fuel Regulations market and creates additional recovery pathways capable of serving larger volumes of organic material across North America.

The transaction is expected to nearly double Vanguard Renewables’ current operating capacity by adding approximately 565,000 tons of food waste processing and 1.1 Bcf of renewable natural gas production annually. Food waste remains one of North America’s largest untapped resource recovery opportunities, with the U.S. alone generating over 70 million tons annually. Recovering more of that material not only reduces methane emissions associated with landfill disposal but also creates renewable natural gas. As demand for low-carbon fuels continues to grow, renewable natural gas derived from organic waste is becoming increasingly valued across regulated, voluntary, and transportation markets.
The combined platform will bring together complementary strengths across the organics recovery value chain. Generate Upcycle contributes proven operating expertise in food waste recycling and renewable energy production, while Vanguard Renewables brings an integrated model that connects feedstock sourcing, logistics, processing, and commercialization. Together, feedstock security and deep operating experience create a stronger foundation for future growth as the platform continues to scale.
